These Website Terms of Use (“Website Terms”) govern access to and use of the website operated by Zing5G Communications Canada Inc. (“Zing5G,” “we,” “us,” or “our”), including www.zing5g.com and any related webpages, online forms, customer-facing website functionality, online content, and other website-based services we make available from time to time (collectively, the “Website”).

By accessing or using the Website, you agree to these Website Terms. If you do not agree with these Website Terms, please do not use the Website.

1. Customer Services and Agreements

These Website Terms govern your access to and use of the Website. They do not replace or modify any Master Services Agreement, Service Order, quotation, subscription agreement, equipment agreement, referral agreement, reseller agreement, or other written agreement governing telecommunications, connectivity, communications, network assessment, payment-related, equipment, support, or other services provided by Zing5G.

Zing5G services may include, among other things:

  • Primary Internet and business connectivity services;
  • AlwaysNET™ backup internet and automatic internet failover;
  • AlwaysVOIP™ cloud communications and VoIP services;
  • NETHealth™ network assessments and connectivity reviews;
  • fibre, cable, dedicated internet, fixed wireless, LTE, 5G, satellite, and other connectivity services;
  • equipment, installation, provisioning, configuration, monitoring, troubleshooting, support, and related services;
  • payment continuity and payment-processing-related services or referrals; and
  • other services described in an applicable customer agreement.

If there is any conflict between these Website Terms and an applicable Master Services Agreement, Service Order, or other written customer agreement, the applicable customer agreement will control with respect to the applicable customer services.

2. Website Information

The Website provides general information about Zing5G, our services, technologies, industries served, business continuity concepts, network connectivity, communications, and related topics.

Website content is provided for general informational purposes and may not describe every technical, commercial, operational, contractual, regulatory, or service-specific requirement applicable to a particular customer or location.

Availability, performance, pricing, installation requirements, coverage, network technology, service configuration, equipment, bandwidth, carrier availability, and other service characteristics may vary by location and customer requirements.

Information displayed on the Website does not constitute a binding offer unless expressly identified by Zing5G as such.

3. Quotations, Service Requests, and Orders

The Website may allow you to:

  • request information;
  • submit a service location;
  • request a site assessment;
  • request a quotation;
  • inquire about availability;
  • contact our sales or support teams;
  • submit information relating to a potential order or service requirement; or
  • access other online tools or forms.

Submission of a form, inquiry, assessment request, or other information through the Website does not by itself create a customer relationship or obligate Zing5G to provide any service.

Any binding customer commitment will be governed by the applicable quotation, Service Order, Master Services Agreement, subscription agreement, or other written agreement accepted by Zing5G and the customer.

Zing5G may accept, decline, modify, or request additional information regarding any inquiry, quotation request, order request, or service request submitted through the Website.

4. Service Availability and Coverage

Telecommunications and connectivity services depend on many factors that may be outside Zing5G’s control, including:

  • carrier and network availability;
  • fibre, cable, wireless, cellular, or satellite coverage;
  • building and site conditions;
  • radio-frequency conditions;
  • network congestion;
  • equipment compatibility;
  • customer network configuration;
  • access to the customer location;
  • third-party supplier availability;
  • construction or infrastructure availability;
  • power availability; and
  • regulatory or technical requirements.

Coverage maps, speed references, service descriptions, technology descriptions, and similar information appearing on the Website are indicative only unless expressly incorporated into a written customer agreement.

5. Pricing and Commercial Information

Pricing shown on the Website, where applicable, may be subject to:

  • taxes;
  • installation fees;
  • equipment costs;
  • usage or overage charges;
  • service-location requirements;
  • carrier charges;
  • third-party supplier charges;
  • minimum terms;
  • credit approval;
  • availability; and
  • other terms set out in an applicable quotation or customer agreement.

Zing5G may change Website pricing, descriptions, promotional offers, or other Website content at any time.

Such Website changes do not modify pricing or other contractual obligations already established under an existing Master Services Agreement, Service Order, subscription agreement, or other written customer agreement unless permitted by that agreement.

6. Website Accounts and Information

If any portion of the Website allows you to create an account, access customer information, submit payment information, or use other authenticated functionality, you are responsible for:

  • providing accurate information;
  • maintaining the confidentiality of your login credentials;
  • restricting unauthorized access to your account;
  • promptly updating inaccurate or outdated account information; and
  • notifying Zing5G if you reasonably believe your account or credentials have been compromised.

You must not access or attempt to access another person’s account without authorization.

7. Acceptable Use

You may use the Website only for lawful purposes.

You must not:

  • use the Website in violation of applicable law;
  • attempt to gain unauthorized access to the Website, servers, systems, accounts, networks, databases, or infrastructure;
  • interfere with or disrupt the operation, security, performance, or availability of the Website;
  • introduce malware, viruses, malicious code, or other harmful technology;
  • attempt to bypass security controls or access restrictions;
  • use automated systems to scrape, harvest, extract, or collect Website content or personal information in a manner that materially interferes with the Website or violates applicable law;
  • impersonate another person or organization;
  • submit false, misleading, fraudulent, defamatory, unlawful, or infringing content;
  • use the Website to distribute spam or unsolicited communications;
  • infringe Zing5G’s intellectual property rights or the rights of others; or
  • use the Website in a manner that could damage Zing5G, our customers, our suppliers, or third parties.

Zing5G may restrict or block access to the Website where we reasonably believe these Website Terms have been violated or where necessary to protect the Website or other users.

8. Intellectual Property

Unless otherwise indicated, the Website and its content are owned by or licensed to Zing5G and are protected by applicable intellectual property laws.

This may include:

  • text;
  • graphics;
  • logos;
  • trademarks;
  • service names;
  • photographs;
  • diagrams;
  • videos;
  • software;
  • website design;
  • downloadable materials;
  • articles and Insights;
  • technical content; and
  • other materials.

Zing5G™, AlwaysNET™, AlwaysVOIP™, NETHealth™, and other names, logos, marks, and branding used by Zing5G may be trademarks, service marks, or other protected intellectual property of Zing5G or its licensors.

You may view and use Website content for legitimate personal or internal business purposes.

You may not reproduce, publish, distribute, modify, sell, sublicense, commercially exploit, or create derivative works from Website content without Zing5G’s prior written permission, except where permitted by law.

9. User Submissions and Communications

If you submit information, questions, comments, feedback, technical details, service-location information, or other materials through the Website, you represent that:

  • you have the authority to provide that information;
  • the information is not knowingly false or misleading;
  • submission of the information does not violate applicable law or another person’s rights; and
  • Zing5G may use the information for purposes reasonably related to responding to your request, evaluating or providing services, administering our relationship with you, and operating our business.

Personal information submitted to Zing5G is handled in accordance with our Privacy Policy.

10. Third-Party Services, Links, and Platforms

The Website may include links to or integrations with third-party websites, platforms, networks, payment providers, telecommunications providers, software providers, analytics services, social-media platforms, or other services.

These third parties operate under their own terms, privacy policies, security practices, and service conditions.

Zing5G does not control and is not responsible for third-party websites or services except to the extent expressly provided in a written agreement with a customer.

A link to, integration with, or reference to a third party does not necessarily constitute an endorsement of that third party.

11. Shopify and Other Website Providers

Portions of the Website and online-store functionality may be hosted or supported by Shopify Inc. and other technology providers.

These providers may process information, operate infrastructure, provide commerce functionality, support website security, process transactions, provide analytics, or perform other functions associated with the Website.

Their processing of personal information is addressed further in our Privacy Policy and may also be subject to their own applicable policies.

12. Payment Processing

Where payment functionality is made available through the Website, payments may be processed by Shopify, Stripe, Global Payments, financial institutions, or other payment-service providers.

Zing5G may receive transaction confirmation, billing, account, and payment-status information, but payment card information may be collected and processed directly by the applicable payment provider rather than stored directly by Zing5G.

Payment obligations associated with Zing5G customer services remain subject to the applicable quotation, Service Order, subscription agreement, invoice, Master Services Agreement, or other customer agreement.

13. Privacy

Your use of the Website and submission of personal information are subject to Zing5G’s Privacy Policy.

The Privacy Policy describes how Zing5G collects, uses, discloses, retains, and protects personal information in connection with the Website and our services.

14. Website Availability

We aim to keep the Website reasonably available and accurate, but we do not guarantee uninterrupted or error-free Website operation.

The Website may be unavailable from time to time due to:

  • maintenance;
  • software updates;
  • hosting outages;
  • network failures;
  • cybersecurity events;
  • supplier outages;
  • technical problems; or
  • circumstances outside our reasonable control.

Zing5G may modify, suspend, restrict, or discontinue any Website feature without notice.

This section applies to the Website only and does not alter any service-level, availability, support, continuity, or other obligations arising under a customer’s Master Services Agreement, Service Order, or other written customer agreement.

15. Disclaimer Regarding Website Content

To the extent permitted by applicable law, the Website and Website content are provided on an “as is” and “as available” basis.

Zing5G does not warrant that:

  • Website content will always be complete, current, or error-free;
  • the Website will always be available;
  • third-party links or services will remain available;
  • general technical information will be suitable for every customer environment; or
  • information appearing on the Website will constitute professional legal, accounting, engineering, cybersecurity, or other professional advice.

Businesses should evaluate their own technical, operational, security, contractual, and regulatory requirements when making connectivity or communications decisions.

16. Limitation of Liability Relating to the Website

To the maximum extent permitted by applicable law, Zing5G will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages arising solely from access to or use of the Website, including loss resulting from reliance on general Website content.

This limitation relates to the Website and Website content only.

Liability arising from telecommunications services, connectivity services, equipment, installation, support, subscriptions, communications services, or other customer services is governed by the applicable Master Services Agreement, Service Order, or other written customer agreement.

Nothing in these Website Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

17. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless Zing5G and its directors, officers, employees, and agents from third-party claims arising from:

  • your unlawful use of the Website;
  • your material violation of these Website Terms;
  • content or information you knowingly submit in violation of another person’s rights; or
  • your infringement of applicable intellectual property rights through your use of the Website.

This section applies to Website use and does not replace any indemnity provisions contained in a separate customer, supplier, reseller, referral, or partner agreement.

18. No Waiver

If Zing5G does not immediately enforce a provision of these Website Terms, that does not constitute a waiver of that provision or any other right.

19. Severability

If any provision of these Website Terms is determined to be invalid, unlawful, or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

20. Entire Agreement Regarding Website Use

These Website Terms, together with our Privacy Policy and other Website policies expressly incorporated by reference, constitute the agreement between you and Zing5G solely with respect to your use of the Website.

For clarity, this section does not supersede or replace any:

  • Master Services Agreement;
  • Service Order;
  • quotation;
  • subscription agreement;
  • equipment agreement;
  • reseller agreement;
  • referral or partner agreement; or
  • other written agreement between Zing5G and a customer, supplier, partner, or other party.

21. Governing Law

These Website Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any mandatory rights available under applicable law, disputes arising solely from the use of the Website will be subject to the jurisdiction of the courts of Ontario.

This governing-law provision applies to these Website Terms only. A separate Master Services Agreement, Service Order, or other written agreement may contain its own governing-law or dispute-resolution provisions.

22. Changes to These Website Terms

Zing5G may update these Website Terms from time to time to reflect changes to:

  • the Website;
  • our business practices;
  • technology;
  • applicable law;
  • suppliers;
  • security requirements; or
  • online functionality.

When we update these Website Terms, we will post the revised version on the Website and update the “Last updated” date above.

Continued use of the Website after revised Website Terms are posted constitutes acceptance of the updated Website Terms, to the extent permitted by applicable law.

Changes to these Website Terms do not amend an existing Master Services Agreement, Service Order, or other written customer agreement unless expressly permitted under that agreement.
